Abstract

This is an excerpt from a legal opinion issued in an arbitration proceeding in which the legal nature of a memorandum of understanding was discussed, particularly whether the instrument was binding on the parties. It discusses the theory of civil liability due to the loss of chance vis-à-vis the civil liability due to loss of profits. The paper also discusses the duty of confidentiality arising from a due diligence carried prior to execution of a share purchase agreement.
