Abstract

This paper discusses issues related to the underwriting agreement in face of Brazilian contract law and securities law. In this sense, it analyzes the origins and current relevance of underwriting agreements, their purpose as well as the seat of the matter in the general theory of contracts, and the influence of contract law principles and doctrines, such as good faith, freedom of contract and social function of contracts therein.
